Dawdle Travel Technology Inc. ("Dawdle," "we," "us," or "our") operates an online platform accessible via www.dawdle.co, www.dawdle.ca, and www.dawdle.ai (collectively, the "Platform").
The Platform enables users to discover, explore, and connect with independent local travel providers offering experiences, activities, services, or recommendations within Canada and other destinations (the "Services").

2. Acceptance of These Terms
These Terms and Conditions ("Terms") govern your access to and use of the Platform and Services.
By accessing, browsing, or using the Platform in any manner, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.
3. Nature of the Platform
3.1 Marketplace Role
Dawdle operates solely as a technology platform that facilitates discovery and connection between individuals seeking travel experiences ("Users" or "Travelers") and independent third-party hosts, guides, businesses, or service providers ("Providers").
Dawdle is not:
- A tour operator
- A travel agency
- A booking agent
- A transportation provider
- An insurer
- A party to any agreement between Users and Providers
All experiences, services, and activities are offered, operated, and delivered exclusively by Providers.
3.2 No Agency or Employment Relationship
No agency, partnership, joint venture, employment, or fiduciary relationship is created between Dawdle and any Provider or User.
Providers act independently and are solely responsible for their services, compliance with laws, safety, licensing, insurance, pricing, availability, and representations.
4. Services Description
The Services may include:
- Listings or profiles created by Providers
- Discovery, search, and recommendation tools
- Messaging or contact functionality
- Links or referrals to third-party booking or affiliate partners
Dawdle does not guarantee availability, accuracy, quality, pricing, or suitability of any experience or Provider.
5. Payments, Bookings, and Affiliates
5.1 No Direct Payments
At this time, Dawdle does not process payments.
Any bookings, reservations, or payments occur directly between Users and Providers, or through third-party affiliate or concierge partners.
Dawdle is not responsible for payment processing, refunds or chargebacks, pricing disputes, or taxes or fees.
5.2 Third-Party Terms
If you are redirected to a third-party platform, your transaction is governed by that third party's terms and policies. Dawdle disclaims all liability arising from such transactions.
6. Cancellations and Refunds
Cancellation, refund, and modification policies are determined solely by Providers or third-party partners. Dawdle does not control, enforce, or guarantee any cancellation terms and does not issue refunds.
7. User Accounts
You may be required to create an account to access certain features.
You agree to:
- Provide accurate and current information
- Maintain the confidentiality of your credentials
- Accept responsibility for all activity under your account
You must be at least 18 years old to use the Platform.
8. User and Provider Content
8.1 Ownership and License
You retain ownership of content you submit ("User Content"). By submitting User Content, you grant Dawdle a worldwide, non-exclusive, royalty-free, perpetual license to use, display, reproduce, modify, and distribute such content for operation and promotion of the Platform.
8.2 Responsibility
You are solely responsible for your User Content and represent that it is accurate, does not infringe third-party rights, and complies with applicable laws. Dawdle may remove content at its discretion.
9. Prohibited Conduct
You agree not to:
- Use the Platform for unlawful purposes
- Misrepresent yourself or others
- Post false, misleading, abusive, or harmful content
- Interfere with Platform security or functionality
- Scrape, crawl, or harvest data
- Circumvent access controls
Violation may result in suspension or termination.
10. Privacy
Your use of the Platform is subject to our Privacy Policy, which explains how we collect and use personal information in accordance with Canadian privacy laws.
11. Third-Party Services and Maps
The Platform may include third-party services, links, or tools including mapping services such as Google Maps. Dawdle does not control and is not responsible for third-party content, accuracy, availability, or practices.
12. Disclaimer of Warranties
THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAWDLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
DAWDLE DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAWDLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR ANY EXPERIENCE.
IN ALL CASES, DAWDLE'S TOTAL LIABILITY SHALL NOT EXCEED CAD $100.
14. Assumption of Risk
Travel and local experiences involve inherent risks. YOU ACKNOWLEDGE AND AGREE THAT PARTICIPATION IN ANY EXPERIENCE IS AT YOUR OWN RISK AND THAT DAWDLE IS NOT RESPONSIBLE FOR PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER LOSSES.
15. Indemnification
You agree to indemnify and hold harmless Dawdle, its directors, officers, employees, and affiliates from any claims, damages, losses, or expenses arising from your use of the Platform, your interactions with Providers or Users, or your violation of these Terms.
16. Termination
Dawdle may suspend or terminate access to the Platform at any time, with or without notice, if you violate these Terms or for operational reasons.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Nova Scotia and the laws of Canada applicable therein, without regard to conflict-of-law principles.
You agree to submit to the exclusive jurisdiction of the courts located in Nova Scotia, Canada.
18. Amendments
We may update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance.
19. General Provisions
- These Terms constitute the entire agreement between you and Dawdle
- If any provision is held unenforceable, the remainder remains in effect
- You may not assign these Terms without our consent
